Copart to Acquire ACV in $1.9 Billion Deal

The acquisition would expand Copart beyond its traditional salvage business into dealer-to-dealer wholesale remarketing while adding ACV’s vehicle data, inspection, and valuation technology.

Copart has agreed to acquire digital automotive marketplace ACV in an all-cash transaction valued at approximately $1.9 billion, a deal that would significantly expand Copart’s position in the wholesale vehicle remarketing market.

The companies expect to close the transaction by the end of 2026, subject to regulatory approval and other customary closing conditions.

The acquisition would bring together Copart’s global auction network and physical infrastructure with ACV’s digital dealer-to-dealer wholesale marketplace, the companies announced in a press release.

Copart operates more than 250 locations and is best known for its online auctions of salvage and other vehicles. ACV provides a digital wholesale marketplace along with vehicle inspection, condition, valuation, and data tools serving dealers and commercial clients.

The companies said the combination would create a digital remarketing platform spanning dealer trade-ins, wholesale remarketing, salvage disposition, and international resale.

“This acquisition reflects a significant milestone in our growth strategy by creating an industry-leading end-to-end vehicle remarketing platform that is fully digital,” said Jay Adair, CEO of Copart.


Expanding Copart's Whole-Car Remarketing Business

For the fleet market, a significant aspect of the transaction is Copart's expansion further into whole-car remarketing.

ACV gives Copart an immediate presence in the dealer-to-dealer auction channel, along with a national network of buyers and vehicle inspectors. Copart said it plans to combine those capabilities with its existing buyer network and physical footprint.

The companies also see opportunities to expand transportation services and commercial vehicle operations and cross-sell services among their respective buyers and sellers.

ACV's technology is another component of the acquisition. Its capabilities include dealer-focused inspection technology, vehicle condition data, and AI-powered valuation tools. The combination would also give the companies a large pool of vehicle condition data that could support future remarketing and valuation products.

“By joining forces with Copart, we will be positioned to advance our mission, drive market expansion, and accelerate innovation with global scale,” said George Chamoun, CEO of ACV.

Both boards unanimously approved the deal.

After the acquisition closes, ACV will continue operating as an independent Copart subsidiary under its existing leadership team.
